LOUIS, MISSOURI; APPROVING THE PURCHASE AND SALE AGREEMENT; AUTHORIZING AND DIRECTING THE OFFICERS OF THE CORPORATION TO EXECUTE AND DELIVER THE PURCHASE AND SALE AGREEMENT; AND AUTHORIZING SUCH OTHER ACTIONS AS MAY BE NECESSARY OR DESIRABLE TO CARRY OUT AND COMPLY WITH THE INTENT HEREOF.
