Board Duties and Purpose

The purpose of the organization shall be those purposes stated in the State of Missouri Articles of Incorporation, signed by the Secretary of State, July 13, 1988, and as thereafter amended, to which express reference is hereby made ("Articles of Incorporation"). To the extent consistent with the purposes stated in the Articles of incorporation.

Member Requirements

The Board of Directors consists of nineteen (19) total members including the Executive Director of the corporation who shall be a non-voting director.
The St. Louis County Executive shall appointment eight (8) directors and name the President of the Board. The Mayor of the City of St. Louis shall appoint four (4) directors. The County Executive and the Mayor shall coordinate their appointments to ensure that not less than seven (7) of the referenced twelve (12) directors shall be representative of corporations or other business entities actively involved in international trade.

The County Executive and the Mayor shall appointment the remaining six (6) directors, five (5) of whom shall be representatives of the various Sister City organizations, and one (1) of whom shall be a representative of a corporation or business entity actively involved in international trade.

Vacancies: The person(s) who appointed a director whose position becomes vacant shall appoint a director to serve out the remaining term of the preceding director.

Of the first Board of Directors appointed in the manner described in Section 3 of this Article II, five (5) members shall be appointed to
serve terms of one year, five (5) members shall be appointed to serve terms of two years, and five (5) members shall be appointed to serve terms of three years. The St. Louis County Executive and the Mayor of the City of St. Louis shall mutually agree on which of the initially appointed directors shall serve which terms. Thereafter, the term of each of the directors, including representatives of individual Sister City organizations, shall be for three (3) years, unless such director is removed or unless such director resigns, dies or becomes incapacitated.
