This Board Bill seeks to authorize the issuance of up to Eighty Million Dollars ($80,000,000) of Special Facilities Revenue Bonds, Series 2023 (St. Louis Lambert International Airport - Southwest Airlines Co. Project) (AMT) (the “Project Bonds”). The Project Bonds will be secured and payable solely from funds pledged under the Indenture of Trust (the “Indenture”) relating to the Project Bonds, such revenues consisting of payments to be made by Southwest Airlines Co. pursuant to the Special Facilities Agreement and the Guaranty (as defined in the Indenture). Proceeds from the sale of the Project Bonds will be used to pay: (a) the costs of the construction, extension and improvement of Special Facilities at the St. Louis Lambert International Airport (the “Airport”), consisting of a baggage claim facility in Terminal 2 at the Airport; (b) all or a portion of capitalized interest on the Bonds; (c) any required debt service reserve funds; and (d) certain costs of issuance of the Project Bonds and other related transaction costs with respect to such Project Bonds, including premiums for any bond insurance or surety.
